RCOM-Aircel merger gets shareholder approval

RCOM has received shareholder approval for the merger of its wireless business with Aircel and Dishnet Wireless. The shareholders have approved (with 99.99 per cent majority) the scheme of arrangement for the demerger of RCOM’s wireless division and Reliance Telecom Limited, a wholly owned subsidiary of the company, into Aircel Limited and Dishnet Wireless Limited. The company had already received approval for the proposed merger from SEBI, the Bombay Stock Exchange, the National Stock Exchange, CCI and the National Company Law Tribunal. RCOM had signed a definitive agreement to merge its wireless operations with Aircel in September 2016. Once the deal is completed, RCOM and Aircel’s parent company, Maxis Communications, will hold 50 per cent stake each in the merged entity and have equal representation on the board and committees.
